Important Summary: By submitting a bid or using outbid-eu.lol, you agree that rank placement is an auction-style competitive service. Ranks are determined solely by cumulative bid amount and can be outbid by others at any time. Paid bids are fulfilled immediately and are strictly non-refundable.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of outbid-eu.lol (the "Service"), operated by outbid-eu.lol ("we", "us", or "our"). By accessing the Service, submitting a bid, or purchasing a placement, you agree to be legally bound by these Terms and our Privacy Policy.

2. Description of the Service

outbid-eu.lol is an open public competitive leaderboard designed to spotlight European startups and global challengers. Users can bid monetary amounts to place or elevate a product website or X (@handle) profile on the leaderboard and receive outbound click traffic via our redirect system.

3. Bidding & Ranking Rules

Rank Equals Bid: Your position on the leaderboard is determined strictly by your cumulative bid amount in EUR. Higher cumulative bids take higher ranking positions.
No Permanent Tenancy: You do not acquire ownership, perpetual tenancy, or guaranteed exclusivity over any ranking slot. Any participant worldwide may outbid your position at any time by placing a higher bid.
Minimum Bids & Increments: All bids are subject to minimum bid thresholds (minimum €2) and bid increments (€1) configured on the platform.
Top-Up Bids: Entering the same domain or @handle allows you to increase your cumulative bid. You only pay the difference required to reach your target rank.
Tie-Breaking: When two listings share the exact same cumulative bid amount, the listing whose bid was placed earlier retains the higher rank.

4. Payments, Invoicing & Strict No-Refund Policy

Payment Processing: Payments are processed securely via Stripe. You authorize us (via Stripe) to charge the selected payment method for the bid amount.
Tax Invoices: You may check out as a Company / Business to provide your business name, address, and EU VAT / Tax ID for official tax invoice generation.
Strict No-Refund Policy: Because rank bidding constitutes an immediate digital service and real-time public exposure fulfillment upon payment confirmation, all payments are strictly non-refundable and final. No refunds, credits, or chargebacks are provided if your listing is later outbid or moved down the leaderboard.

5. Acceptable Use & Prohibited Content

You agree not to submit any URL, handle, or listing that contains or promotes:

Illegal products, services, substances, or activities under European and international law.
Malware, spyware, phishing, deceptive scams, or malicious payloads.
Pornography, sexually explicit/NSFW material, or adult escort services.
Hate speech, harassment, threats, defamation, or violence.
Chat/invite links (such as Telegram, WhatsApp, Discord, Signal groups).
Infringement of intellectual property, trademarks, or copyrights of third parties.

We reserve the absolute right, at our sole discretion, to remove, edit, or reject any listing that violates these standards without prior notice and without refund.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC TRAFFIC VOLUMES, CLICKS, CONVERSIONS, OR UNINTERRUPTED UPTIME.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUTBID-EU.LOL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO OUTBID-EU.LOL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to the Service shall be governed by and construed in accordance with the laws of the European Union / European Economic Area, without regard to conflict of law principles.
